Billing and Subscription Agreement
Effective Date: August 8, 2026
This Billing and Subscription Agreement ("Agreement") is entered into by and between Dror Property Solutions ("Dror", "Company", "we", "our", or "us") and the individual, company, organization, or legal entity registering for or using any Dror product or service ("User").
1. Scope of Agreement
This Agreement governs all subscription services, software products, marketplace services, communication services, payment services, advertising services, and related offerings provided through the Dror ecosystem, including but not limited to:
- Dror Inspect
- Dror Manage
- Dror Connect
- Dror Marketplace
- Dror Repair
- Any future Dror products, services, modules, applications, websites, or platforms
By registering for an account, selecting a subscription plan, providing payment information, or using any Dror service, the User agrees to be bound by this Agreement.
2. Subscription Plans and Fees
Subscription plans, pricing, user limits, storage limits, feature access, communication allowances, transaction fees, and other service limitations are described on the applicable pricing pages and may be updated periodically.
Fees may include, but are not limited to:
- Monthly subscription fees
- Annual subscription fees
- Additional user fees
- Marketplace listing fees
- Featured placement fees
- Advertising fees
- Payment processing fees
- Transaction fees
- SMS, email, or communication fees
- Premium feature fees
- API or integration fees
- Other optional add-on services
3. Automatic Billing Authorization
By providing a payment method, the User authorizes Dror Property Solutions and its third-party payment processors to automatically charge the payment method on file for all applicable fees, charges, taxes, and authorized amounts associated with the User’s account.
This authorization includes subscription renewals, additional user charges, marketplace fees, communication fees, transaction fees, advertising fees, add-on services, and applicable taxes.
4. Billing Cycle and Renewal
Subscriptions automatically renew until canceled. Billing may occur monthly, annually, or on another recurring schedule associated with the selected plan.
If the initial monthly subscription date falls on the 29th, 30th, or 31st of a month, subsequent billing cycles may occur on the 28th of each applicable month or on another date established by the payment processor.
5. Payment Processing
All payments may be processed through third-party payment processors, including but not limited to Stripe. Payment information is securely stored and handled by the payment processor. Dror does not store full payment card details.
The User agrees to comply with all applicable payment processor terms, card network rules, ACH rules, banking requirements, fraud prevention requirements, and other payment-related obligations.
6. Subscription Changes
The User may upgrade, downgrade, add users, remove users, enable add-ons, or modify services through the account management interface when available.
Unless otherwise stated, changes may take effect immediately, at the start of the next billing cycle, or according to the rules of the applicable payment processor. No refunds or prorated credits will be issued for partial billing periods unless required by law.
7. Failed Payments
If a payment attempt fails, the User is responsible for promptly updating payment information and resolving the unpaid balance.
Dror reserves the right to suspend, restrict, downgrade, or terminate access to any Dror product or service if payment is not successfully processed.
If payment remains unpaid, Dror may restrict service access, disable new listings, suspend payment processing features, reduce marketplace visibility, restrict data exports, pause account functionality, or terminate the account.
8. Suspension and Termination
Dror may suspend or terminate access to any product or service if:
- Payment is not received within the required timeframe;
- The User violates this Agreement or any related agreement;
- The User engages in fraudulent, abusive, unlawful, or unauthorized use of the platform;
- The User creates risk of financial loss, legal exposure, chargebacks, disputes, or reputational harm;
- Continued service would violate law, payment processor rules, or third-party provider requirements.
Termination does not relieve the User of any outstanding payment obligations.
9. Modification of Fees
Dror reserves the right to modify subscription pricing, processing fees, platform fees, marketplace fees, transaction fees, advertising fees, communication fees, add-on fees, and other charges.
Users will receive at least thirty (30) days’ notice of material pricing changes when reasonably required. Continued use of any Dror service after the effective date of pricing changes constitutes acceptance of the updated fees.
10. No Refund Policy
Except where prohibited by law, all fees paid are non-refundable, including subscription fees, marketplace fees, advertising fees, communication fees, transaction fees, processing fees, add-on charges, and other service fees.
The User acknowledges that access to Dror services may be provided immediately upon activation and that Dror incurs costs upon account creation, service activation, marketplace publication, communication delivery, and payment processing.
11. Taxes
The User is solely responsible for all applicable taxes, assessments, duties, governmental charges, reporting obligations, and business-related tax responsibilities associated with the User’s activities and use of Dror services.
12. Chargebacks, Disputes, and Reversals
The User is responsible for all chargebacks, payment disputes, reversals, insufficient fund charges, bank fees, processor fees, and related costs arising from the User’s account, customers, clients, tenants, vendors, transactions, or business activities.
Dror may suspend access, withhold amounts, offset balances, or recover costs associated with chargebacks, disputes, fraud, or payment processor penalties.
13. Collections
The User agrees to pay all reasonable collection costs, attorney fees, court costs, processor fees, and related expenses incurred by Dror in collecting overdue balances or enforcing this Agreement.
14. Third-Party Services
Certain Dror services may rely on third-party providers, including payment processors, communication providers, hosting providers, analytics providers, identity verification services, mapping services, screening providers, and other integrations.
Dror is not responsible for third-party fees, service interruptions, data handling, processor decisions, account holds, underwriting requirements, or compliance obligations imposed by third-party providers.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Pennsylvania, unless another dispute resolution process is required by the applicable Terms of Service.
16. Acknowledgment
By selecting a subscription plan, providing payment information, activating an account, or using any Dror product or service, the User acknowledges that they have read, understood, and agree to be bound by this Agreement.
