Electronic Signature and Consent Agreement
Effective Date: August 8, 2026
This Electronic Signature and Consent Agreement ("Agreement") is entered into by and between Dror Property Solutions ("Dror", "Company", "we", "our", or "us") and the individual, company, organization, customer, client, tenant, vendor, contractor, agent, inspector, property manager, property owner, or other person using, accessing, registering for, signing through, or submitting records through any Dror product or service ("User", "you", or "your").
By using any Dror platform and providing, adopting, clicking, typing, drawing, uploading, confirming, accepting, approving, or otherwise applying an electronic signature, consent, acknowledgment, authorization, approval, or acceptance, you acknowledge and agree that your electronic signature, electronic consent, electronic record, and electronic submission are the legal equivalent of your handwritten signature and paper record and carry the same force and effect under applicable law, including the Pennsylvania Uniform Electronic Transactions Act, the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act"), and any other applicable electronic signature or electronic records laws.
1. Scope of Agreement
This Agreement applies to all electronic signatures, electronic records, electronic notices, electronic disclosures, electronic communications, electronic approvals, electronic acknowledgments, and electronic transactions conducted through the Dror ecosystem, including but not limited to:
- Dror Inspect
- Dror Manage
- Dror Connect
- Dror Marketplace
- Dror Repair
- Any future Dror products, services, modules, applications, websites, portals, or platforms
2. Consent to Electronic Transactions
You consent to conduct business electronically through Dror products and services. This consent includes, but is not limited to, the electronic creation, delivery, review, acceptance, execution, retention, and storage of:
- Terms of service, end user license agreements, subscription agreements, privacy notices, and account agreements;
- Inspection agreements, inspection reports, inspection addenda, inspection confirmations, and inspection-related notices;
- Property management documents, lease-related documents, renewal documents, tenant notices, owner notices, work orders, maintenance requests, and management-related communications;
- Real estate customer relationship management documents, lead forms, client communications, listing-related records, agent disclosures, and transaction-related records;
- Marketplace listings, booking requests, inquiry forms, vendor profiles, contractor profiles, service requests, advertising approvals, and lead submissions;
- Repair, contractor, vendor, maintenance, estimate, proposal, invoice, change order, completion confirmation, and service-related documents;
- Invoices, payment authorizations, billing agreements, refund requests, chargeback responses, receipts, and payment-related records;
- Messages, notices, disclosures, confirmations, consents, authorizations, certifications, acknowledgments, and other communications.
3. Legal Effect of Electronic Signature
You agree that any electronic signature, typed name, drawn signature, checkbox, button click, confirmation screen, account login, submitted form, authenticated action, or other electronic indication of intent submitted through any Dror product or service is legally binding and enforceable in the same manner as a handwritten signature.
Any document, record, agreement, authorization, acknowledgment, approval, or consent executed or accepted electronically shall be deemed valid, enforceable, admissible as evidence, and retained as an electronic record to the fullest extent permitted by law.
4. Authority to Sign
By signing, accepting, approving, or submitting any electronic record through Dror, you represent and warrant that you have the legal authority and capacity to bind yourself and, if applicable, the company, organization, customer, client, tenant, property owner, vendor, contractor, agency, brokerage, or other entity on whose behalf you are acting.
If you sign or accept documents on behalf of another person or entity, you are solely responsible for ensuring that you have proper authorization to do so.
5. Identity, Authentication, and Attribution
You agree that electronic signatures and electronic actions may be attributed to you based on available authentication and activity information, including account credentials, email address, phone number, IP address, browser data, device information, timestamps, audit logs, access links, session information, typed names, drawn signatures, uploaded signatures, checkbox confirmations, button clicks, and other identifying or transactional data.
You agree that records maintained by Dror regarding electronic activity, account access, document viewing, document signing, document delivery, document acceptance, and related events may be used to verify, authenticate, evidence, and enforce electronic transactions.
6. Responsibility for Signature Security
You are responsible for maintaining the confidentiality and security of your login credentials, email accounts, access links, devices, authentication methods, and any method used to apply your electronic signature or approval.
You agree to notify Dror immediately of any unauthorized use of your account, unauthorized signature, compromised credentials, suspected breach of security, or improper access to any electronic record.
7. Right to Paper Copies
You have the right to request a paper copy of any electronically signed document or electronic record. Requests may be made through your account, through the applicable Dror portal, or by contacting Dror.
Dror may provide copies electronically, and paper copies may be subject to reasonable administrative fees, mailing fees, or processing fees unless prohibited by law.
8. Retention of Electronic Records
You agree that Dror may create, store, retain, reproduce, and provide electronic records of signed documents, agreements, communications, consents, logs, and related activity.
You are responsible for downloading, saving, printing, or otherwise retaining copies of documents and records that you require for your own business, legal, regulatory, tax, compliance, or operational purposes.
9. System Requirements
You acknowledge that access to electronic records requires a compatible device, internet access, a valid email address when applicable, the ability to access web pages, the ability to view HTML and PDF files, and a modern web browser capable of displaying, downloading, printing, and retaining electronic documents.
By using Dror electronically, you confirm that you can access, view, download, print, and retain electronic records.
10. Hardware and Software Changes
If hardware or software requirements materially change in a way that may affect your ability to access or retain electronic records, Dror may provide notice where required by law. Continued use of Dror products and services after such notice constitutes continued consent to electronic transactions.
11. Scope and Duration of Consent
This consent applies to all electronic transactions, documents, signatures, communications, notices, disclosures, agreements, approvals, authorizations, records, and submissions provided through or related to any Dror product or service unless and until you withdraw your consent as described below.
Your consent remains effective for as long as you maintain an account, access Dror services, communicate through Dror, sign through Dror, or participate in any transaction, workflow, listing, booking, service request, inspection, property management activity, contractor/vendor activity, payment activity, or marketplace activity through Dror.
12. Withdrawal of Consent
You may withdraw your consent to electronic transactions by providing written notice to Dror. Withdrawal of consent may result in suspension, limitation, or termination of access to some or all Dror products, services, portals, workflows, document signing features, payment features, marketplace features, and communication features.
Withdrawal of consent does not affect the legal validity or enforceability of any electronic signature, electronic record, electronic communication, or electronic transaction completed before Dror receives and processes the withdrawal request.
13. No Obligation to Accept Non-Electronic Transactions
Dror may, in its sole discretion, determine whether paper-based transactions, manual processing, mailed documents, or non-electronic communications are available. Dror is not obligated to provide non-electronic alternatives unless required by applicable law.
14. User Responsibility for Document Review
You are responsible for reviewing all documents, agreements, disclosures, notices, payment authorizations, listings, service requests, inspection records, lease-related records, contractor/vendor records, and other materials before signing, accepting, approving, or submitting them electronically.
You acknowledge that clicking, signing, accepting, submitting, or otherwise confirming a document or electronic action indicates your intent to be legally bound.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles, except where federal law applies.
16. Acknowledgment
By proceeding with registration, signing documents, clicking acceptance boxes, submitting forms, approving transactions, authorizing payments, using any Dror product or service, or otherwise conducting business electronically through Dror, you confirm that:
- You have read and understand this Electronic Signature and Consent Agreement;
- You consent to use electronic signatures and electronic records in place of paper documents;
- You can access, view, download, print, and retain electronic records;
- You agree that electronic signatures and electronic records are legally binding and enforceable;
- You consent to be legally bound by electronically signed documents, electronic records, and electronic communications.
